10 Questions You Must Ask Before Signing Off Your Capital Project

Practical completion is one of the most consequential moments in the life of a capital project, and one of the most rushed. It is usually reached under programme pressure, with a contractor keen to release retention and a customer keen to get their building back. The temptation is to treat it as a date in the programme that has arrived.

It is not a date. It is a decision, and it is yours to make. Once you accept practical completion, the contractual and practical landscape shifts underneath you: risk moves, insurance moves, the mechanism that penalises late delivery switches off, and a defects clock starts running. Anything incomplete at that moment becomes something you now own and have to chase.

This blog, a companion to our pillar piece on capital project delivery in live environments, sets out ten questions to ask before you put your name to anything. None of them takes long to ask. All of them are cheaper to ask now than to resolve later.

What is practical completion?

Practical completion is the point at which building works are sufficiently complete for the customer to take possession and use the building for its intended purpose, with only minor snagging items outstanding that do not prevent that use. It marks the transfer of the building from contractor to customer, triggers the start of the defects liability period, and is confirmed by a practical completion certificate.

What changes at practical completion?

The practical effects vary by contract, but under both JCT and NEC4 forms the same broad shift happens. Understanding it is what turns sign-off from an administrative step into a commercial decision.

IN OUR EXPERIENCE

We’ll say it plainly, because our project experience makes it unavoidable: the difference between a smooth project and a fraught one is almost always communication. Not engineering, not budget, communication. Get the people side right and the technical side has room to succeed.

Start with a capital project stakeholder map

You cannot communicate well with people you have not identified. Map them, then work out, for each, what they need to know, when they need to know it, and how they want to hear it. Distinguish internal stakeholders from external ones; they have different needs and different sensitivities.

Who are the stakeholders on a capital project?

On a typical project the stakeholders include the customer’s project manager, the professional consultants and advisers appointed to the scheme, the building users themselves, and specialist roles such as laboratory or facility managers. On a live project the maintenance and FM team belong on that list from day one, not from handover. Different stakeholders matter at different points, which is easier to plan against once you can see where a project sits in the RIBA stages.

Build a communications plan people actually use

A communications plan that lives in a folder is worthless. A good one is simple enough to follow under pressure: regular touchpoints, clear ownership of each message, and an agreed route for getting decisions made quickly. Manage expectations at every stage, and when something goes wrong, say so honestly and early, bad news travels better early and small than late and large.

Reporting is part of this, not separate from it. Where progress, cost, risk and change are visible in one place, people stop chasing updates and start acting on them.

IN OUR EXPERIENCE

Our hardest-won lesson on handover is simple: non-attendance equals acceptance. If your key maintenance stakeholders aren’t in the room at handover, you risk accepting plant and systems that nobody has actually checked or agreed to maintain. Insist they’re present. Several of the questions below exist precisely to prevent that.

The ten questions to ask before sign-off

Ask these in order and ask for evidence rather than assurance. A contractor who is genuinely ready will have the answers to hand.

1. Have all statutory requirements and employer’s requirements been met?

This is the baseline, and it is two separate tests rather than one. Statutory compliance covers Building Regulations sign-off, fire safety documentation, electrical and gas certification, and anything required under the CDM Regulations including the health and safety file. Employer’s requirements are what you specified and paid for, which is a different question entirely and one that nobody else will ask on your behalf. Work through both against the original documents rather than a summary, and ask for evidence in each case. The red flag is a contractor who answers on compliance but becomes vague on the employer’s requirements, because that usually means something has been quietly substituted or dropped.

2. Has all statutory notification been concluded?

Outstanding statutory notices are a common gap at sign-off and a poor thing to inherit. Depending on the works this can include Building Control completion certificates, F-Gas registration for refrigerant systems, notification of new or altered electrical installations, water hygiene and Legionella documentation, and any planning conditions that need discharging. These are not optional and they do not become easier to chase once the contractor has left site and the final account is settled. Ask for the schedule of notifications with the confirmation reference for each one. If any are still pending, establish who is chasing them and hold retention against them.

3. Is the snagging list complete, agreed and realistic?

Snagging should be managed continuously throughout the works, not left to a single end-of-project walk-round. By Practical Completion, both parties should have an agreed and controlled list of any remaining minor snags, with each item dated, owned and given a resolution date. These should be distinguished from defects arising after Practical Completion (see Q10. below), which are dealt with through the contractual rectification period, usually 6 to 12 months. A long, uncategorised list is not effective close-out; it is a dispute waiting to happen. Walk the building with someone who will maintain it, because they will often spot issues the delivery team may not.

4. Has the building and its new plant been properly commissioned?

Commissioning proves the systems perform as designed, not simply that they switch on. Ask for commissioning records for every system, signed and dated, along with witness testing results and the commissioning specialist’s final report. Building management system settings, control strategies and set points should be recorded rather than left in an engineer’s head. Check specifically whether seasonal commissioning is outstanding: a plant room commissioned in July cannot demonstrate heating performance, so that work sits months after handover and needs to be programmed, funded and contractually retained. The red flag is a commissioning schedule with gaps, or seasonal commissioning offered as a favour rather than an obligation.

5. Do you have complete O&M documentation?

Operation and maintenance manuals are what make a building maintainable, and incomplete ones store up cost for years. A complete set includes as-built drawings, equipment schedules with make, model and serial numbers, manufacturer literature, commissioning certificates, spares and consumables lists, statutory test records and health and safety file. Check that asset data arrives in a format your systems can use, because a folder of scanned PDFs is not an asset register and someone will have to retype it. Ask for the O&Ms in draft before practical completion rather than after. Reviewing them is how you discover what is missing while you still have leverage.

6. Has your maintenance team been trained on the new systems and plant?

Handover is not only documents, but also knowledge transfer to the people who will keep the building running. Training should be delivered to the team who will operate the plant, not to whoever happened to be available, and it should be recorded with names, dates and content covered. Ask for it to be filmed where the systems are complex or unfamiliar, because staff turn over and the induction you paid for walks out of the door with them. Where controls are proprietary, establish who holds the access credentials and licences, and confirm that you do.

Untrained teams default to calling the contractor, which is a cost you will carry.

7. Is final certification in place?

Final certification is one of the items most commonly missing at handover, and it is far easier to chase before sign-off than after. This covers the paperwork that proves the installation is safe and lawful: electrical installation certificates, gas safety documentation, fire alarm and emergency lighting commissioning certificates, sprinkler and suppression system certification, lifting equipment records, and any third-party accreditation the specification called for. Without these your insurers, your compliance reporting and your statutory obligations all have holes in them.

Build the certification schedule at the start of the project rather than at the end and track it as a live document alongside the programme.

8. Are your key maintenance stakeholders present and accepting the handover?

A practical completion certificate issued without the maintenance team formally accepting the handover is where the real damage is done. It leaves plant effectively unmaintained from day one, which affects warranties, compliance and cost. Your hard FM provider, in-house engineers, compliance lead and helpdesk all need to be in the room, and their acceptance should be recorded on the handover documentation alongside yours. Treat non-attendance as a risk rather than a formality, and do not let a diary clash become tacit acceptance. If the people who will maintain the building cannot attend, move the date rather than proceeding without them.

9. Can the handover and acceptance of plant and warranties be phased?

Phasing is the most underused tool available to you at this stage. Phased handover and phased acceptance let you take on what is genuinely ready without accepting what is not, which is particularly valuable on a live estate where you may need part of the building back before the whole scheme finishes. Sectional completion needs to be written into the contract at the outset rather than negotiated at the end, so raise it during procurement. Be careful with warranty start dates: plant commissioned in March and accepted in September has already spent six months of its warranty sitting idle unless you have agreed otherwise in writing.

10. Do you understand the defects liability period and how to use it?

The defects liability period is a tool, not a formality, and most customers underuse it. Under JCT forms it is called the rectification period and defaults to six months, though it is commonly amended to twelve. NEC4 sets a defects date, typically 52 weeks after Completion, with a separate defect correction period for putting each one right. Know which applies to you, when it ends, and exactly how a defect should be reported so that a notice is valid. Diarise a formal inspection at around the ten-month mark on a twelve-month period, so there is time to raise and resolve anything found before your right to do so expires.

Why sign-off is harder on a live estate

In an occupied building the pressure to accept practical completion is operational as well as commercial. A ward needs to reopen, a lecture theatre is timetabled, a leisure centre has memberships running. That pressure is real, and it is exactly why the decision needs to be made deliberately rather than by default.

Two things help. The first is starting the handover conversation at the beginning of the project rather than six weeks before completion, so the certification schedule, the O&M requirements and the training plan are all specified rather than requested. The second is phasing, so that operational pressure is relieved on the areas that are ready without accepting the areas that are not.

IN OUR EXPERIENCE

We have seen the cost of getting this wrong, and it never lands on completion day. A practical completion certificate issued without the maintenance team accepting handover leaves plant unmaintained and warranties compromised. The bill turns up months later as reactive call-outs, avoidable failures and remedial work that somebody has to find a budget for. Ten minutes of questions at the right moment prevents years of that.

Practical completion: FAQs

Can you refuse to certify practical completion?

Yes. Practical completion is a judgement, not an automatic entitlement on a given date. If the works are not sufficiently complete for you to occupy and use the building for its intended purpose, certification can be withheld. The judgement usually sits with the contract administrator or project manager, and it should be evidenced against the contract deliverables (or employer’s requirements) rather than against programme pressure.

How long is the defects liability period?

It depends on the contract. JCT forms use a rectification period that defaults to six months and is commonly amended to twelve. NEC4 sets a defects date that is typically 52 weeks after Completion, with a separate defect correction period for each defect. Mechanical and electrical elements are sometimes given a longer period by amendment.

What is the difference between practical completion and the final certificate?

Practical completion marks the point at which you take possession of the building and the contractor’s defects liability period begins. The final certificate comes later, after the defects period has ended and outstanding items have been rectified, and it settles the final account and releases the remaining retention. They are separate events and should not be conflated.

What documents should you receive at practical completion?

As a minimum: the practical completion certificate, O&M manuals, as-built drawings, the health and safety file, commissioning records and witness test results, statutory certification, warranties and guarantees, asset schedules, and training records. Ask for drafts of the O&M documentation before the certificate is issued so that gaps can be closed while you still have leverage.

What is seasonal commissioning and why does it matter?

Seasonal commissioning is the testing of heating, cooling and ventilation systems under the conditions they were designed for, which can only be done at the relevant time of year. A system commissioned in summer cannot demonstrate winter heating performance. It should be scheduled, funded and contractually secured at practical completion rather than left as an informal promise.

Who should attend a handover meeting?

The customer or their representative, the contract administrator or project manager, the contractor and relevant specialist subcontractors, and critically the people who will maintain the building. That means the hard FM provider or in-house engineering team, the compliance lead and the helpdesk. Their formal acceptance should be recorded on the handover documentation.

From sign-off into operation

Sign-off is not the finish line. It is the handover of a building into its operational life, and the quality of that handover sets the cost and the difficulty of every year that follows. The questions above take an afternoon between them. The consequences of not asking them run for the life of the asset.
